Who provides the service
Markedfile is provided by Graysphere LLC, a limited liability company organized in Wyoming, United States, at 30 N Gould St Ste N, Sheridan, WY 82801, USA. The contact email is contact@graysphere.com. The company site is https://graysphere.com. These terms are an agreement between you and Graysphere LLC for use of Markedfile.
The service
Markedfile embeds an invisible forensic watermark in files you share privately and can detect a surviving mark so you can trace which identifier was embedded. You upload a file, assign a private identifier, and download a marked copy. You can later upload a copy or a screenshot to see which identifier can be recovered.
Supported inputs today are PNG, JPEG, and WebP images; PDFs, including detection from the rendered page rather than metadata alone; text files and ZIP-based packages, including Office files; and other binary files, which are returned inside a marked ZIP. How large a file can be, and how many pages a PDF can have, follow the workspace plan.
Accounts
You need an account to mark files and to see your records. You register with an email address and a password of 8 to 128 characters. You are responsible for activity on your account and for keeping the password confidential. You can change your name, email, and password from profile settings.
When email delivery is configured, registration sends a message to confirm the address, and the login screen can send a password reset link. You cannot use Markedfile until you open that verification message. An account that is still unverified is deleted 7 days after registration. Changing the email address sends a confirmation to the new address, and the address stays the same until that link is opened. You can turn on an authenticator app from profile settings. While it is on, signing in asks for a current code from that app. Backup codes are shown once when you create them. A backup code can be used once to sign in, and a used code is rejected. If you cannot sign in, email Graysphere LLC at contact@graysphere.com.
Acceptable use
You may mark files you have the right to process. You may not use Markedfile to break the law, to infringe someone else's rights, to distribute malware, or to probe or disrupt the service. You may not attempt to extract the watermark key, other customers' identifiers, or files from a workspace you do not belong to. Graysphere LLC may suspend an account that abuses the service.
Files and metadata
File contents are processed in memory and are not stored. Markedfile stores metadata: the identifier you assigned, the file name and type, the status, timestamps, and a detection token while the file is active. A file stays detectable while it is active. Deleting the record ends detection, removes it, and frees an active-file slot. You are responsible for the identifiers you assign and for the copies you distribute.
Plans
Free is $0 per month on the Personal Workspace, with 5 active files, each detectable for 6 months, up to 5 MB per file and PDFs up to 10 pages. Pro is $9.99 per month on the Personal Workspace, with 50 active files, detectable until you delete them, up to 10 MB per file and PDFs up to 50 pages. Unlimited is $19.99 per month on the Personal Workspace, with no active-file cap, detectable until you delete them, up to 20 MB per file and PDFs up to 100 pages. Enterprise is $49.99 per month for one shared workspace, with no active-file cap, detectable until you delete them, up to 100 MB per file and PDFs up to 500 pages.
Free, Pro, and Unlimited apply only to the Personal Workspace. That workspace cannot be deleted, shared, or invited into. Enterprise applies to one shared workspace and cannot be attached to the Personal Workspace. A personal plan does not grant files or invitations on a shared workspace. You may create up to 20 shared workspaces without paying, so there is a workspace to subscribe. Invitations and new marks on a shared workspace require an active Enterprise subscription on that workspace. Enterprise is per workspace.
When paid billing is enabled, paid plans are processed by Stripe. When it is not enabled, you can register and use Free, and Markedfile does not charge you. A paid plan is not granted without a verified payment or an administrator override.
Cancellation, downgrades, and lapses
You may stop using Free at any time. When paid billing is enabled, you can cancel a paid plan in the billing portal. Cancellation stops renewal at the end of the current period. Changing plans does not delete file history.
On a move to a lower cap, the newest active files that fit stay active. Older active files over the cap are paused: the record and the token stay, and detection does not resolve until you resume that file into a free slot or upgrade. On a move to Free, a file older than 6 months from its mark time expires: the token is removed and the status becomes expired.
If an Enterprise subscription stops being active, new marks and new invitations stop immediately, pending invitations are cancelled, and current members stay. Files that were active stay detectable for 30 days and then expire.
Detection is best effort
Markedfile does not warrant that a screenshot, a crop, or a heavily edited copy will resolve, or that a particular person will be identified. Confidence is a heuristic. Text and ZIP-based marks are fragile. You decide how to use a detection result.
Limits of liability
The service is provided as is. To the maximum extent permitted by law, Graysphere LLC is not liable for indirect, incidental, special, consequential, or lost-profit damages, or for a leak that detection did not identify. Graysphere LLC's total aggregate liability for a claim about Markedfile is limited to the fees you actually paid to Graysphere LLC for the service in the 12 months immediately preceding the event giving rise to the claim. If you paid for fewer than 12 months, the cap is the amount you paid. There is no minimum, so if you paid nothing, including on the Free plan, the cap is USD 0. Where the law does not allow these limits, they apply only to the maximum extent permitted by law.
Changes to these terms
We may update these terms by posting a new version on this page and changing the date above. If you keep using the service after the update, you accept the new terms.
Governing law
These terms are governed by the laws of the State of Wyoming, United States, without its conflict-of-law rules. You and Graysphere LLC agree that the state and federal courts located in Wyoming are the exclusive venue for a dispute about these terms or the service. These terms do not require arbitration.
